Please read the Terms and Conditions of the "Collaboration Agreement for Product Sales on Bara-Ka.com" before registering as a seller on https://bara-ka.com, the platform operated by Miniba B S.L. (hereinafter referred to as Bara-Ka).
By registering or using the service, you agree to be bound by the Terms and Conditions of this Collaboration Agreement. This agreement is made between Bara-Ka, as the owner of a digital platform for selling second-hand items and furniture, and your company, as the supplier of these products.
Bara-Ka
Bara-Ka.com is a "marketplace" exclusively dedicated to commercializing second-hand furniture and items for design enthusiasts. The company acts as an intermediary between the Supplier and the customer. Bara-Ka will provide the Supplier access to the website https://bara-ka.com as a sales channel for their products.
Supplier
A business in the second-hand furniture sector that uses the Bara-Ka.com platform as a digital sales channel for its products.
Terms of Use and Sale of Products on Bara-Ka.com
1. Seller Registration on Bara-Ka
- The Supplier will have private and secure access to a user profile, enabling them to manage their products: create, modify, delete, and oversee sales, including checking order status, monitoring sales, exchanging messages with customers, and handling accounting tasks.
2. Definition of Products
- Products to be uploaded online must be pre-approved by both the Supplier and Bara-Ka to ensure consistency with the marketplace's offerings.
- The Supplier is responsible for creating the product listings in the store, following Bara-Ka's guidelines for optimal presentation.
- Bara-Ka may provide assistance with product creation, including image adaptation or text writing, if deemed necessary.
- Bara-Ka will review the Supplier's products and activate them in the online store.
3. Product Promotion
- Bara-Ka will undertake advertising and promotional activities to attract users to the online store and convert visits into sales for Suppliers.
- The Supplier authorizes Bara-Ka to use images of their products on various platforms for this purpose.
4. Product Sales
- Customers can purchase products directly from the online store and pay via bank transfer or credit card to Bara-Ka.
- After verifying and confirming payment (automatically for credit card payments or manually for bank transfers), Bara-Ka will notify the Supplier via email and the private management application.
- As an intermediary, Bara-Ka does not assume direct responsibility for products sold by the Supplier.
- The Supplier agrees to remove the product from sale in their physical or online store once notified of a sale through Bara-Ka.
- If a product is sold in the Supplier's physical or online store, they must remove it from Bara-Ka.com as soon as possible, within a maximum of 24 hours.
- Any changes to products offered for sale must be communicated to Bara-Ka via email at least 48 hours in advance. Products agreed upon for sale should remain available to ensure a consistent user experience.
- The sales conditions applied will be those available online on Bara-Ka's website.
- If a product is sold simultaneously on Bara-Ka and the Supplier's store, both parties will work transparently to determine the source of the customer and verify the date and time of initial contact.
- Bara-Ka and the Supplier will resolve any incidents arising during the sales or delivery process, assuming responsibility based on the cause and covering any additional costs to ensure customer satisfaction.
- The Supplier's trade name will not appear in the online store to enhance user navigation and Bara-Ka's brand positioning. However, customers will be able to contact the Supplier directly for post-purchase inquiries about pickup or transportation.
- The Supplier's name will be shared with the customer upon sale. Any subsequent sales resulting from a contact initiated on Bara-Ka.com must be exclusively through the Bara-Ka store.
- Both Bara-Ka and the Supplier commit to treating all business information confidentially and will not disclose it to third parties.
5. Product Warranty and Returns
- Return conditions will be those established by Bara-Ka and made available online, in compliance with Article 44 of Law 7/1996, of January 15, on Retail Commerce Regulation.
- Return shipping costs will generally be borne by the customer unless the issue is directly attributable to the Supplier or the shipping company.
6. Product Delivery
- The Supplier will prepare the order for shipment or customer pickup promptly, with a maximum timeframe of 2-5 working days.
- If shipping is required, either the Supplier's or Bara-Ka's transportation method can be used, as agreed upon during the Supplier and product onboarding process.
7. Bara-Ka's Service Commission
- Bara-Ka will receive a commission for each product sold on the online store.
- The commission rate will be communicated during a phone or in-person meeting and will be calculated based on the final sale price (RRP) to the customer.
- For additional services (e.g., transportation, installation), included in the RRP, specific commission terms will be outlined in an annex document.
- Commission rates for promotional operations (e.g., Christmas offers, Black Friday, sales) will be negotiated separately from this agreement.
- Once the sale is complete and the 14-day return period has elapsed, Bara-Ka will pay the Supplier the sales amount minus the commission, upon receipt of an invoice.
8. Duration of the Collaboration Agreement
- This collaboration agreement will initially be valid for one year from the signing date and will automatically renew for successive one-year periods.
- Either party may terminate the agreement at any time by providing written notice (via email) 30 days in advance.
9. Data Protection
- Personal data of customers/users who purchase products under this agreement, shared by Bara-Ka with the Supplier, will only include information necessary for order fulfillment, shipping, and customer service.
- The Supplier agrees to use customer/user personal data solely for these purposes and not for any other purposes.
- Both Bara-Ka and the Supplier will comply with EU Regulation 2016/679 (GDPR) and ensure the confidentiality and security of personal data processed under this agreement.
- Bara-Ka guarantees that personal data provided to the Supplier for the proper execution of the agreement has been obtained lawfully and is adequate, relevant, and limited to the purposes of the agreement.
